These Terms and Conditions (“Terms”) govern all services, communications, and engagements provided by Hamzat Digital Works Ltd (“Hamzat”, “we”, “our”, “us”). By engaging with our consultancy services, using our website, or entering into a contract, you (“Client”, “you”, “your”) agree to these Terms.
1. Definitions
Client: Any individual, business, or organisation engaging Hamzat for consultancy, IT strategy, systems integration, or other services.
Services: Includes IT consultancy, digital strategy, systems design, integration, cybersecurity, managed services, and related advisory work.
Agreement: The formal contract formed when Hamzat accepts a Client engagement or service order in writing.
2. Scope of Services
Hamzat provides IT consultancy, digital transformation guidance, systems integration, and cybersecurity advisory services. All services are subject to these Terms and any specific project or engagement agreements. Hamzat does not guarantee outcomes beyond agreed objectives; results depend on Client cooperation, existing infrastructure, and market factors.
3. Engagements and Acceptance
- All engagements require written confirmation or a signed contract.
- Hamzat reserves the right to decline any request or limit services without obligation to provide a reason.
- Clients are responsible for providing accurate and complete information necessary for the delivery of services.
4. Fees and Payment
- Fees are outlined in proposals, quotes, or contracts and are exclusive of VAT unless stated.
- Invoices are payable within 30 days of issue unless otherwise agreed.
- Late payments may incur interest at 8% above the Bank of England base rate, calculated daily.
- Ownership of deliverables remains with Hamzat until all fees are fully paid.
5. Client Responsibilities
- Provide timely access to relevant systems, personnel, and data.
- Ensure compliance with all applicable laws and regulations in relation to IT systems.
- Use deliverables and advice in accordance with Hamzat guidance; misuse may void liability.
6. Confidentiality
Both parties agree to maintain confidentiality over all non-public or proprietary information disclosed during engagements. This obligation survives termination of the engagement.
7. Intellectual Property
- All work, methodologies, and materials produced by Hamzat remain our intellectual property unless otherwise agreed in writing.
- Clients may use deliverables solely for the purposes outlined in the engagement agreement.
- Reproduction, distribution, or commercial exploitation without written consent is prohibited.
8. Limitation of Liability
- Hamzat is not liable for indirect, consequential, or incidental losses, including loss of revenue, profits, or data.
- Liability is limited to the fees paid for the specific service giving rise to the claim.
- Hamzat is not responsible for third-party software, hardware, or services integrated by the Client.
9. Data Protection and GDPR Compliance
- Hamzat processes personal data in line with UK GDPR and the Data Protection Act 2018.
- Data is used strictly for service delivery, contractual compliance, and communications.
- Clients may request access, correction, or deletion of personal data held by Hamzat.
10. Software and Third-Party Tools
- Any software or third-party platforms recommended or implemented are subject to their respective licenses.
- The Client is responsible for complying with all third-party license terms.
- Hamzat is not liable for issues arising from third-party software misuse or incompatibility.
11. Force Majeure
Hamzat is not liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, strikes, pandemics, cyber-attacks, or supply chain disruptions.
12. Termination
- Either party may terminate the engagement for material breach if the breach is not remedied within 14 days of written notice.
- Upon termination, all outstanding fees become immediately due.
13. Governing Law
These Terms and any engagement agreements are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
14. Amendments
Hamzat reserves the right to update these Terms at any time. Updates take effect immediately upon posting to our website. Continued engagement constitutes acceptance of the updated Terms.
